This document forms our Web Site:

These combined policies and conditions describe your rights and responsibilities and what you can expect from “us” (Tournai Pty Ltd, JDLF International Pty Ltd and other affiliated companies). Please take the time to read and review these policies and conditions. Your use of the Web Site constitutes your agreement to abide by the policies and conditions within this document. If you do not agree with any of these terms and conditions, please do not use the Web Site. Furthermore if you would like more information on our policies please contact us by email or post (using the contact details at the bottom of this document). In this case, you should not use the Web Site until you have received a satisfactory result or response, in writing, from our organisation.

We reserve the right to add to, delete from or change these terms and conditions from time to time and without notice. By continuing to use the Web Site, you agree to be bound by the changes. We are not obligated to notify you of any changes but we will endeavour to alert you to any significant changes. Nevertheless, you should check our published polices from time to time to acquaint yourself with the current versions.

We regard privacy as an important part of our client and end user relationships. The information we collect from you or display on our Web Site or through our web services will vary depending on the web services, functionality and modules you or your registered client subscribe to. Our websites may also contain links to websites of third parties (including registered clients), third party service providers and search engines. If you have accessed third party websites through this Web Site and if those website collect information about you, we may also collect or have access to that information, as part of our client agreements with those third parties.

When you access a third party website from our site portfolio, cookie information, location information, geographical positioning information, provider information and/or other identifying information may be shared between us and the third party.

Access to our online services may be recorded and monitored to enable solution development, problem analysis, troubleshooting, security investigations and/or quality assurance. Information which will be recorded will be dependent on the site or services you use.

We may preserve the content of any email correspondence, if we believe it prudent or that we have a legal requirement to do so. Additionally, we reserve the right to forward emails from end users to the relevant registered client.

We reserve all rights to disclose your personally identifiable information as required by law, and additionally when we believe that disclosure is necessary to protect our rights, company, affiliated companies, assets, clients, end-users and/or to comply with our audit or legal obligations, judicial proceedings, court order/s, or legal process served on our Web Site.


Use of our payment services


If you are transacting on behalf of another card holder you agree to be liable for any chargeback, bank, interest, administration or recovery charges which may result due to the account holder declining a payment.

YOU MUST ADVISE THE CARD HOLDER THAT THE TRANSACTION WILL APPEAR ON THEIR CREDIT CARD STATEMENT AS “COMPASSPAY.COM”, AND NOT AS OUR CLIENTS’ BUSINESS NAME.


By purchasing goods or services through the Web Site, you make an offer to us to purchase the goods or services you have selected based on these policies, terms and conditions. Information contained on the Web Site constitutes an invitation to treat. No information on the Web Site constitutes an offer by us to sell any goods or services. We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders or purchases at our discretion.

All payment services are processed by CompassPay.com (CompassPay.com is a registered trading name of Tournai Pty Ltd). Any payment made using our service will appear on your credit card statement as CompassPay.com. CompassPay.com offers an online payment details lookup services to assist in identification of any payments after they have been made. This payment lookup service is provided “as is” and without warranty.

We may contact you by email or phone if we are unable to process or accept your payment.

In completing a payment online through our portal you agree to honour the payment and accept liability for any chargeback fees, merchant charges, gateway charges, bank fees, lost revenue, interest owed and/or reasonable administrative charges should your payment be denied, credit limited exceeded, card cancelled, payment declined or a transaction stop issued.

Furthermore, you agree to contact us (in writing) prior to issuing any transaction stop, or if you believe a payment is not valid or not correct. This allows us to issue a refund without incurring chargeback fees. If you issue a transaction stop without notifying us and providing us with a minimum 8 business days to issue a refund, you agree to pay our credit card chargeback fee and administration charge (minimum charge $45) and the associated credit percentage charges of 3.5% of the processed amount.

You accept that payments through our payment gateway are processed on behalf of our client. Inclusion of taxes (including GST) is the client’s responsibility.

You acknowledge that your payment will appear on your credit card statement and transaction history as COMPASSPAY.COM.

We use BankWest, Westpac, American Express and other merchant providers and payment gateways for our payment management services. All payment gateways are PCI compliant and we comply with all privacy requirements of our banking and merchant institutions.

Please note: American Express payments incur additional fees for processing.

We do not permit the use of International Cards (cards issued outside Australia, including but not limited to VISA International and MasterCard International).

If your card is declined or transaction not successful we will (where possible) provide details (through our Web Site) as to why the credit card transaction was not processed. Should you require additional information as to why your payment detail/card was declined, we request that you contact the issuing financial institution of the credit card used.

We use SSL for processing credit card transactions. You should check that a padlock (or browser equivalent) is displayed beside the URL of the site when entering your details. We take no responsibility for any theft (including both identity and financial), loss of information or additional transactions that may result from you using an insecure, open or compromised (by computer viruses, Trojans, worms or similar) computer or internet connection.

Payments are conducted online as follows:

- Fully automated with an immediate response

- All transactions (client side and server side) using SSL (secure socket layer)

- Processed by an authorised third party processor for all major Australian banks.

Some application modules within our website offerings include 'minimum amounts'. These minimum amounts vary from client to client, based on annual transaction amounts, merchant rates, level of associated risk, card type, service/product type, client minumums and numerous other factors. Accordingly, some functionality and credit card payments may be declined as a result of this. In most circumstances you will instead be presented with a printable confirmation/payment page. Additionally, we may use the process of online payment for products and/or services as a method or for further verification of your identity, as such registration and/or purchasing of a service may be restricted in certain circumstances.
In the event that a payment is disputed or chargeback submitted for the payment, you permit us to provide details of the transaction (including any personal details) to our banking partners as required.

Refunds

Refunds will be provided in accordance with any state or federal legislation and applicable common law. Due to varied online fee based services and products, specific refund and return policies will be detailed for each transaction.

Should you wish to find out more about possible refunds, returns or reimbursements for a product or service please contact the relevant client. If you are unable to determine the relevant client please contact us. You should clarify any refund, return or reimbursement policies prior to making any payment or purchase online.

In the event that a refund is acceptable (as determined by the client) any product/s must be returned in their original condition. Any associated postage, insurance, chargeback, interest and/or administration fees may be subtracted from the refund amount. We recommend that you return any product by registered post and that you pre pay any postage fees. You assume any risk of loss, theft of damaged goods during transit. We (including our clients) are not responsible for any incorrect or out-of-date information that was provided (including but not limited to postal addresses) which results in items, documents or parcels not arriving.

Enrolments and Offers

We offer online enrolments as a 'convenient option' for completing your school enrolment online. Importantly, completion of, payment of and or receipt of an enrolment 'offer' does not bind the client (school) to providing you or your child a position or enrolment at the school.
Further, under no circumstances do we and/or the client provide any warranty, guarantee or formal confirmation of acceptance to a school and/or educational institution. In using this service the user agrees to waive any liability (implied, direct and/or consequential) to us (including the relevant client), as permissable by law, with regard to the validity of the offer. We reserve the right to revoke an offer AT ANY time. In the event that an offer is revoked after a payment has been received or processed, we will refund any monies as soon as possible (usually within 2 business days).
During the enrolment process a number of details are collected on behalf of the school. These details are provided to the school and are then removed from our system after a 'reasonable transfer period'. We are committed to protecting your information, as such these details are not distributed by us to any third parties. Should you not agree with any of these terms and conditions, including this section and all other relevant sections you should NOT use our online enrolment system, instead you should contact the relevant school requesting a manual registration form.

Intellectual Property

Our Web Site, including content, images, logos, text, designs, operation and method of administration is copyright. Copyright ownership throughout this website varies, and where specified, content ownership may remain with a third party content creator or organisation. The Compass suite of products and services (including but not limited to Compass Payment Manager, Compass School Manager, Compass Photo Manager, Compass University Manager, Compass Finance, Compass School Services, Compass One, Compass Testing, MyReport, TalkingPoints, FeePay, WebTicket, PassPortal and Performax) and associated logos/colours are trademarks of Tournai Pty Ltd / JDLF International Pty Ltd or used under licence.

Use of any of the above trademarks or their associated logos without our express prior written permission is NOT permitted. The information contained on this website is subject to change without notice. While every effort is made to ensure the accuracy of the Web Site (including any published prices) we (regardless of whether the information is entered by us or our clients) are not responsible for typographical, technical, pricing or descriptive errors.

Submissions

We welcome your comments or suggestions for improving or further developing our solutions or product offerings. However, any comments, feedback messages, ideas, concepts, graphics, notes, designs, colour schemes, suggestions, recommendations and functionality shall be and remain the exclusive property of us (or our affiliated companies) upon receipt. Your submission of any such comments shall constitute an assignment to us of all rights, titles and interest in all copyrights and other intellectual property rights of the attached material. We will be entitled to use, reproduce, sell, disclose, publish and distribute any material you submit for any purpose whatsoever without compensating you in any way. For this reason, we request that you do not send us comments that you do not wish to assign to us. We further ask that you do not send any confidential information to us that you do not wish to be kept on record.

Communication

We reserve the right to email you email regarding client promotions, alerts and special offers that we or our clients believe may be of interest to you. We respect your right not to receive these communications and request that you notify us by email advising us if you do not wish to receive these communications. You acknowledge that our clients may choose to notify you through our Web Site or solutions and acknowledge that while we provide this service, we do not necessarily control to whom communications are sent to. Should you not wish to receive communications from particular clients please contact them directly. If you are unable to find contact details for the client please contact us and will provide these to you.

Disclosure

We will not disclose you personally identifiable information, unless:

a) we have your permission to do so; or
b) under special circumstances; or
c) the information is provided to the registered client (school, institution or organisation); or
d) for legal purposes; or
e) for audit purposes; or
f) we believe it necessary to provide you with a service (or product) you have requested; or
g) as required by affiliated (including subsidiary) companies

We may use your personal information in providing you with information or services you request and in tailoring your web site experience. We may also use pooled information obtained from all website visitors to understand our users' interests and improve our services. These reports may be shared with partners and sponsors of the website but they will not disclose personally identifiable information.

Storage and Security

We will endeavour to take reasonable steps to ensure your personal information is kept secure, accurate and up to date. You information is stored on secure servers. While we make every effort to ensure personal information is kept within state and country boundaries we do run servers internationally. As such your personal information may be transferred to our servers in our international secure facilities. Our international server farms are evaluated before any data is transferred or backed up.

Unfortunately, no data transmission over the Internet can be guaranteed to be 100% secure. We cannot give any absolute assurance that the information you provide to us will be secure at all times. You accordingly do so at your own risk and we (including our clients) will not be held responsible for events arising from unauthorised access to your personal information.

Identification

A Commonwealth identifier is a Commonwealth Government or Commonwealth Government agency designated identification number such as your Tax File Number (TFN) or Medicare number. We do not use Commonwealth identifiers as a means of identifying the personal information that we may have collected about you. Our clients may request Medicare details for medical records. Please contact the relevant clients directly for particular information on how they use that information.

Sensitive Information

If personal information concerns particular topics it is regarded as sensitive information. Sensitive information can be (however is not limited to) information regarding race, racial origin, ethnic origin, political opinions, membership of a political organisation, religious beliefs or affiliations, philosophical beliefs, membership of a professional or trade association, membership of a trade union, sexual preference or practices, criminal record and/or health information.

Advertising

We reserve the right to display advertisements (including targeted advertisements) on our Web Site. All advertising is reviewed prior to publication by a product manager or delegate.

Password and Login

This is a private computer system. Access is permitted to authorised users only. Unauthorised or improper use of this system (including but not limited to program reproduction, program distribution and/or publication of inappropriate content) may result in administrative disciplinary action as well as civil and/or criminal penalties. In logging into and/or using this system you indicate your awareness of and your agreement to these terms and conditions. Do not login if you do not agree to the terms and conditions. 'Compass School Manager' and the Compass School Manager logo are licenced by JDLF International Pty Ltd. All rights reserved. This system is protected by Australian intellectual property and privacy laws as well as international treaties.
You are not permitted to share your login credentials with any other entity (without the express permission of us or our registered client). You may be liable for any activity made under your account.

All logins to our website including IP addresses, browser types and in some cases geographical information are recorded.

CompassPhotos

All prices are inclusive of GST. Photo print and cut sizes are approximate and may vary slightly. Booklets are 4 A4 sides printed using digital printers. Group formats, booklets and photos may vary according to school designs. Any processed credit cards will appear on your statement as ‘CompassPay.com’. For more information regarding our photographs please email photos@jdlf.com.au. Late orders (those received more than 5 business days after photo day), will cost an additional $9 for special handling and processing. All receipts (tax invoices) will be issued online through your Compass school portal. Online payment is not a pre-requisite to purchasing a digital copy of your photo(s), but you will still need to log into the Compass parent portal after payment to access the download.
We are unable to provide any digital copies of class booklets. Digital copies are only available for student portraits and for some group/sibling photographs (as indicated in the preview). Image sizes may vary slightly from specified/advertised sizes. Pack items may be upgraded (at no charge) or refunded if an order is unable to be filled.

Please note: 'Passport-Size'photos cannot be used as Passport photographs, as they do not meet the required specifications. They are referred to as 'Passport-Size' photographs to give an indication of the size.

Transfer of business

In the unlikely event that the assets and operations of the Web Site business are transferred to another party as a going concern, the personal information collected by the Web Site will be provided to the new business operator. However, it will remain subject to the privacy safeguards set out in the Website privacy policy.

Governing law and jurisdiction

(a) This document is governed by and is to be construed in accordance with the laws applicable in the state of Victoria, Australia.

(b) Your irrevocably and unconditionally submits to the non-exclusive jurisdiction of the courts of Victoria and any courts which have jurisdiction to hear appeals from any of those courts and waives any right to object to any proceedings being brought in those courts.

Education specific

JDLF International Pty Ltd hold contracts with grouped entities, individual entities and state/government departments. As such, some of our product and service offerings are provided and governed under these contracts, in the event that a product or service offering conflicts with our terms of use the contract will take presendence over that specific confict. Information is provided to JDLF International Pty Ltd for school management and for the purpose of delivery of products or services, which align with the schools operational purpose. Our staff undergo checks by the Department of Justice focused on working with children and minors. Additionally, all staff have strict and enforced confidentially agreements in place. While ensuring products and services offerings a not comprimised and that sufficient measure are in place to ensure auditing and security management requirements, where possible, practical and feasible we will attempt to:
- host private information (including passwords) on local sites
- host private information witin private/secured networks
- host private information on servers/infrastructure managed or hosted within client (or affiliated client) facilities
- encrypt private (condidential) information at a hardware level
- encrypt private (confidentiial) information at a software level

We follow the below information privacy principles which align with the Victorian information privacy principles :
- We collect only personal information that is necessary for performance of our products and/or services. We also provide access to this information both the student (individual) and the appropriate families. Information is however in most cases managed by the school or appropriate entity. As such, we would suggest that the school or appropriate entity is contacted directly, prior to contacting JDLF International, to update any information that is considered incorrect. Please note: To ensure we protect private information and details, requests for information must be submitted by post and included certified copies of identification documents. You may also be required to attend one of our offices in person with identification, depending on the information required.

- We use and disclose personal information only for the primary purpose for which we received it or it was collected.

- We take measures to ensure that personal information is accurate, complete and up to date.

- We take reasonable steps to protect personal information from misuse, loss, unauthorised access, modiciation or disclosure.

- We have documented policies on management of personal information and document our terms and conditions of use on our website at www.jdlf.com.au/policy

- We abide by the Victorian Freedom of Information Act, and provide individuals with access to information in accordance with this act.

- We do not record national unique identifiers, including tax file numbers. We do however record student VSN numbers in some circumstances to accomodate school and/or state reporting requirements.

- Where possible we will provide users with the ability to provide comments and feedback in an anonymous manner. Given the nature of the systems we operate and develop, coupled with our need for clear audit paths and security procedures, most access attempts are logged and recorded in alignment with our terms of use available at www.jdlf.com.au/policy

- Sensitive Information. Unless essential in our product or service's purpose we do not record information that is considered sensitive. This includes information such as political views, sexual preferences, etc.

Additional Important Information - When uploading documents and resources

In submitting electronic content you acknowledge that you are publishing document/s, multimedia, applications, music or other electronic content of which you are the copyright owner, or hold express permission from the copyright owner for publication and/or distribution. Publishing of copyrighted material without the copyright owners consent is not permitted, unless permitted under copyright and intellectual property laws. Uploading of large documents is not permitted (files that exceed 10mb). Uploading of sensitive information (as defined by relevant state/territory Privacy Acts) is not permitted.In uploading content you agree that the content is of an acceptable nature for business and educational circulation. Uploading of discriminatory, pornographic, adult, offensive, abusive and or defamatory material and content is not permitted and may render you liable to disciplinary, civil and or criminal charges. JDLF International Pty Ltd (including affiliated entities) takes no responsibility for the content uploaded. JDLF International Pty Ltd reserves the right to suspend or remove content at anytime without notice. Backup copies of any published documents should be made by the content distributor prior to publication. JDLF International Pty Ltd takes no responsibility for any loss of data or resources.
